SWRLS CIO proposed constitution, background:
AGM – agreement to move to a CIO; Need a new constitution for the new organisation; Followed Charity Commission model for an association CIO; Future proofed; Rules have also been drawn up to supplement the constitution.

Clause 3: Objects – listed in constitution for the first time; Clause 6: Benefits and payments to charity trustees and connected persons – clarifies that trustees can’t benefit by being a trustee; Clause 7: Conflicts of Interest and conflicts of loyalty – not in current constitution;

Clause 9: Membership of the CIO: - defines admission procedure
Clause 9: Membership of the CIO: - defines admission procedure. Individuals cannot be members at present. Members will be asked to provide a named representative; Sub-clause 9(3): Duty of members – all members must act in best interests of the charity; Sub-clause 9(6): Informal or associate (non-voting) membership – associate category will not be offered by the new charity.

Clause 11: General meetings of members – only one will be needed – the AGM; Clause 12: Charity trustees, Clause 13: Appointment of charity trustees and Clause 16: Reappointment of charity trustees – cover various aspects of trustee appointment process. Supplemented by the Rules. Clause 22: Use of electronic communications – clarifies the use.
