Sovereign Jurisdiction, independent since 1973 English Common Law Legal System Privy Council in London, UK as highest court Parliamentary (Westminster) system of government dating back to 1729 Offshore financial centre with over $8.563 Billion in assets domiciled in The Bahamas

Overseen by the Securities Commission of The Bahamas – the governmental agency charged with the administration of securities laws and regulation of securities markets in The Bahamas The Securities Commission is a Class A signatory of the International Organization of Securities Commissions (IOSCO) Multilateral Memorandum of Understanding (MMoU) Domestic market consists of a Stock Exchange (BISX), listed and traded securities and over the counter securities including over 100 tranches of Government bonds

The types of Securities Listed and Traded, includes ordinary shares (20), preference shares(13), corporate debt (4), government debt securities (16) and mutual funds(44) BISX operates an order-driven electronic market Approx. 900 Mutual Funds licensed in The Bahamas Approx. 150 licensed securities firms

BCSD Executive Summary
Incorporated in March 2009 as a joint venture between Royal Fidelity Merchant Bank & Trust Limited (RFMBT), Colina Financial Advisors Limited (CFAL) and the Bahamas International Securities Exchange (BISX) Utilizes the Depend Software developed by Percival Software for carrying out company registry and depository functions Registered with the Securities Commission of The Bahamas as a “Clearing Facility”

BCSD – Current Core Services
General RTA Services – Processing inquiries from shareholders, management of Dividend Payment histories, processing shareholder requests Dividend Processing – public notifications, disbursements to shareholders, bank account reconciliations and management of replacement checks AGM Correspondence – public notifications, packaging and mailing of corporate documents, proxy forms, as well as certifying attendance reports for company AGMs

Audit Confirmations – Involves providing official confirmation reports to auditors on company’s behalf Confirmation Letters – Involves providing official confirmation / documentation via letter to shareholders with respect to their particular shareholdings Transfers and Shareholder Maintenance – Involves actual update of the share register to reflect trades processed, name changes, deaths, and general transfers of shares from one holder to the next
