Purpose of a Nonprofit Board
The board is the legal guardian of the organization and is responsible for the organization’s current and future welfare. Governance – To govern is to steer, to control, and to influence or persuade from a position of authority.

Individual Board Members’ Legal Responsibilities
Business Judgment Rule: Nonprofit board members who exercise “good faith judgment” are generally protected from liability to organization and its members, if… Duty of care – “pay attention” Duty of loyalty – “the organization comes first” Duty of obedience – “obey the laws”
