PSGE – 20 Questions What is the proposed Governance Entity and its structure? How was the proposed Governance Entity established? What is the relationship between the proposed new Governance Entity and existing entities that represent the claimant community? How can beneficiaries of the settlement participate in the affairs of the Governance Entity? How do members have a say in who the representatives on the Governance Entity will be? MATTERS REQUIRED IN DISCLOSURE MATERIAL FOR GOVERNANCE ENTITIES

PSGE – 20 Questions (2) How often and how will the representatives change? What are the purposes, principles, activities, powers, and duties of the Governance Entity and any bodies accountable to it? Which decisions will members have a say in and how? How are decisions made by the Governance Entity? Who will manage the redress received in the settlement? Who will determine what benefits are available to beneficiaries?

PSGE – 20 Questions (3) What are the criteria for determining how benefits are allocated and distributed? How will the people managing assets and determining benefits be accountable to beneficiaries? What are the rules under which the Governance Entity and any bodies accountable to it operate? Are there any interim governance arrangements in the period between the establishment of the Governance Entity and the date that the settlement assets are transferred? If so, what are they?

PSGE – 20 Questions (4) How will the structure and the rules of the Governance Entity and any bodies accountable to it be changed? What are the planning/monitoring/review processes for decisions of the Governance Entity? What if members do not agree with the decision made by the Governance Entity? How often will accounts be prepared and audited? Will beneficiaries receive information about decisions that affect them? How? How often?

Developing a PSGE Strategy reflects directions and aspirations
PSGE will develop the Strategic & Operational Plans based on direction of the Iwi Structure tailored to our Strategy and Assets PSGE will develop the business groups and entities Representation aligned to Iwi and hapu expectations PSGE representatives elected through agreed process Strategy Structure Representation I note this Strategy process that we're about to start could develop an iwi/Whakatōhea strategy BEFORE the PSGE is formed. Equally the Strat (and definitely the Op) plans could be left to the PSGE once formed. If so, then the point here is this process should clearly summarise the voice of the iwi, for the PSGE to articulate a PSGE strat plan. This boundary issue should be discussed otherwise it may cause an issue during discussions. Some PSGEs/iwi not only ratify the PSGE/deed, but also the group structure/proposed subsidiary entities. This fourth bullet is saying the PSGE will develop the group structure (later) - this is a valid option, but should be discussed and agreed by the WPCST.

It would be useful to let people know things like What iwi strategies currently exist, A sense of the time and various inputs into those strategies (so people understand there's a lot of content already), and Suggest the main challenge is how to bring them together in a succient manner - and thus a key task over the next few months is to pull this summary together, so that it can inform the Structure.

The Deed of Settlement needs to specify a Post Settlement Governance Entity (PSGE) All Whakatohea uri will have the chance to vote on the Deed of Settlement Your input will inform the strategy, structure and mode of representation that gets developed
