2. New Constitution
Why – required by the Charities Regulator – name changed to Company Limited by Guarantee under the Companies Act of Company registration number Charity registration number CHY13695
Based on model Constitution provided by the Charities Regulator.
The overall objective was to make it simple and transparent.
It is also good governance to review the Constitution. Last time it was reviewed was years ago
We needed to include GDPR policy as we do collect and hold personal data.

3. Main changes
We used to have a “Management Committee” that reported to the Board. The reason for this was the Management Committee was made up of Dublin based directors and a Regional Chair that represented all the regions. However with Skype today everyone can attend Board Meetings. We made it simple by deleting the Management Committee.
Regional Chair – this position never really worked. All regions are now on the Board
Increased Board Membership – now we have a Members Director and a Academic Liaison Director. This will allow us to build a membership strategy and also stay in touch with all Business Schools
Reduced the quorum for Board Meetings. We are all volunteers and difficult to get 50% of the Board to all meetings
Changed Business Schools and Corporate to be ordinary members with voting rights. We want to make it attractive to them.
We want to build Corporate Members.
All members are now ordinary members and students are associated members – Once again to make it a simple structure.
