3 Reporting of internal financial control system in audit report
Rule 10A of Companies (Audit and auditors) Rules 2014 ( Inserted vide notification no G.S.R. 722(E). dated 14th October, 2014, after rule 10 ) For the purposes of clause (i) of sub-section (3) of section 143, for the financial years commencing on or after 1st April, 2015, the report of the auditor shall state about existence of adequate internal financial controls system and its operating effectiveness Provided that auditor of a company may voluntarily include the statement referred to in this rule for the financial year commencing on or after 1st April, 2014 and ending on or before 31st March, 2015 Reporting in audit report in clause (i) of section 143(3) is Voluntary for the financial years commencing on or after 1st April, 2014 and ending on or before 31st March, 2015 Compulsory for the financial year commencing on or after1st April 2015

4 Security deposit by director candidate to be forfeited or not in case of non profit company
General Circular 38/2014, dated 14 Oct 2014 Clarity has been sought by companies registered under section 8 of the Companies Act, 2013 (corresponding to section 25 of Companies Act, 1956) about the manner in which the amount of deposit of rupees one lakh received by them under sub-section (1) of section 160 of the Companies Act, 2013 (Act) is to be handled if the depositor fails to secure more than twenty five per cent of the total valid votes. It has been noted that the relevant provision is silent on such issue the Board of directors of a section 8 company is to decide as to whether the deposit made by or on behalf of the person failing to secure more than twenty-five percent of the valid votes is to be forfeited or refunded

5 Addition of swach bharat kosh and clean ganga fund in csr schedule vii
G.S.R. 741(E) dated 24 Oct 2014.— In exercise of the powers conferred by sub-section (1) of section 467 of the Companies Act, 2013 (18 of 2013), the Central Government hereby makes the following further amendments to Schedule VII of the said Act, namely:- (i) In item (i), after the words "and sanitation", the words "including contribution to the Swach Bharat Kosh set-up by the Central Government for the promotion of sanitation" shall be inserted; (ii) In item (iv), after the words "and water" the words "including contribution to the Clean Ganga Fund set-up by the Central Government for rejuvenation of river Ganga;" shall be inserted (i) eradicating hunger, poverty and malnutrition, promoting health care including preventive health care and sanitation including contribution to the Swach Bharat Kosh set up by the central Government for the promotion of sanitation  and making available safe drinking water (iv) ensuring environmental sustainability, ecological balance, protection of flora and fauna, animal welfare, agroforestry, conservation of natural resources and maintaining quality of soil, air and water including contribution to the Clean Ganga Fund set-up by the Central Government for rejuvenation of river Ganga

6 Intimation of address of other place for keeping books of accounts
G.S.R. 37(E). dated 16 jan 2015 In the Companies (Accounts) Rules, 2014,- (i) after rule 2, following rule shall be inserted, namely:- “2A. Notice of address at which books of account are to be maintained. - For the purposes of the first proviso to sub-section (1) of section 128, the notice regarding address at which books of account may be kept shall be in Form AOC-5.” intimation of address at which the books of accounts shall be kept, shall be given in form AOC 5

7 Consolidation of financial statement of foreign subsidiary
(ii) in rule 6. after the third proviso, the following proviso shall be inserted, namely:- “Provided also that nothing in this rule shall apply in respect of consolidation of financial statement by a company having subsidiary or subsidiaries incorporated outside India only for the financial year commencing on or after Is' April, 2014 Company which has subsidiary(s) out side india are not required to do consolidation for the financial year commencing on or after 1st april 2014.(only for this f/y)

8 Filing of dir 11 by foreign director through professional
G.S.R. 42(E) 19th January, 2015 In the Companies (Appointment and Qualification of Directors) Rules, 2014, in rule 16, the following proviso shall be inserted, namely:- “Provided that in case a company has already filed Form DIR-12 with the Registrar under rule 15, a foreign director of such company resigning from his office may authorise in writing a practising chartered accountant or cost accountant in practice or company secretary in practice or any other resident director of the company to sign Form DIR-11 and file the same on his behalf intimating the reasons for the resignation Foreign director may authorise a CA or CS or CMA in practice or any other resident director to sign form DIR- 11 on his behalf and state reasons for the resignation

9 Small co definition Companies (removal of difficulty) order 2015 dated 13 feb 2015 In the Companies Act, 2013 (hereinafter referred to as the said Act), - (a) in section 2, in clause (85), in sub-clause (i), for the word “or” occurring at the end, the word “and” shall be substituted; and To be small co , the co must satisfy both the criteria ie. Puc upto 50 lac and Turnover upto 2 crores.

10 Exemption to banking ,insurance and housing finance company from section 186
Companies (removal of difficulty) order 2015 dated 13 feb 2015 (b) in section 186 of the said Act, in sub-section (11), in clause (b), after item (iii), the following item shall be inserted, namely “(iv) made by a banking company or an insurance company or a housing finance company, making acquisition of securities in the ordinary course of its business.” Banking and insurance and housing finance co can make investments in the ordinary course of business, section 186 shall not apply

11 Loan given to employee not covered under section 186
General Circular No. 04/2015 dated 10 march 2015 it is hereby clarified that loans and/or advances made by the companies to their employees, other than the managing or whole time directors (which is governed by section 185) are not governed by the requirements of section 186 of the Companies Act, This clarification will, however, be applicable if such loans/advances to employees are in accordance with the conditions of service applicable to employees and are also in accordance with the remuneration policy, in cases where such policy is required to be formulated Loans , advance given to employees other than MD or WTD is not covered in section 186.

Companies (Meetings of Board and its Powers) Amendment Rules, th March, 2015 In the Companies (Meetings of Board and its Powers) Rules, 2014, (a) in rule 8. (i) item numbers (3), (5), (6), (7), (8) and (9) and the entries relating thereto shall be omitted; Rule 8 presently contains only 3 items ie (1), (2), (4) (1) to make political contributions; (2) to appoint or remove key managerial personnel (KMP); (4) to appoint internal auditors and secretarial auditor

13 Managerial remuneration approved under sch
Managerial remuneration approved under sch. Xiii of ca 1956 to continue to be paid for period falling under ca 13 General Circular No. 07/ th April, 2015 the provisions of Schedule XIII (sixth proviso to Para (C) of Section II of Part II) of the Companies Act, 1956 (Earlier Act) and as clarified vide Circular number 14/11/2012-CL-VII dated 16th August, 2012, which allowed listed companies and their subsidiaries to pay remuneration, without approval of Central Government, in excess of limits specified in para II Para (C) of such Schedule if the managerial person met the conditions specified therein. Stakeholders have expressed that since similar provisions are not available in the Schedule V of the Companies Act, 2013, there is a need for a clarification that a managerial person appointed in accordance with such provision of Schedule XIII of Earlier Act may receive relevant remuneration for the period as approved by the company in accordance with such provisions of Earlier Act. It is clarified that a managerial person referred above may continue to receive remuneration for his remaining term in accordance with terms and conditions approved by company as per relevant provisions of Schedule XIII of earlier Act even if the part of his/her tenure falls after 1st April, 2014

14 Manner of presentation of cfs
General Circular no. 39/2014 dated 14 oct 2014 Government has received representations from stakeholders seeking clarifications on the manner of presentation of notes in Consolidated Financial Statement (CFS) to be prepared under Schedule III to the Companies Act, 2013(Act). These representations have been examined in consultation with the Institute of Chartered Accountants of India (ICAI) and it is clarified that Schedule III to the Act read with the applicable Accounting Standards does not envisage that a company while preparing its CFS merely repeats the disclosures made by it under stand-alone accounts being consolidated. In the CFS, the company would need to give all disclosures relevant for CFS only Companies while doing consolidation shall give information regarding CFS only, and shall not merely repeat the disclosures made in stand alone FS.

15 The intermediate WOS is not required to prepare the CFS
Exemption from cfs G.S.R. 723(E) 14th October, 2014 In the Companies (Accounts) Rules, 2014, in rule 6, after the existing proviso, the following provisos shall be inserted, namely:- "Provided further that nothing in this rule shall apply in respect of preparation of consolidated financial statement by an intermediate wholly' owned subsidiary, other than a wholly-owned subsidiary whose immediate parent is a company incorporated outside India: Provided also that nothing contained in this rule shall, subject to any other law or regulation, apply for the financial year commencing from the 1st day of April, 2014 and ending on the 31* March, 2015, in case of a company which does not have a subsidiary or subsidiaries but has one or more associate companies or joint ventures or both, for the consolidation of financial statement in respect of associate companies or joint ventures or both, as the case may be The intermediate WOS is not required to prepare the CFS If its immediate parent is a co incorporated out side india, then it is required to prepare CFS  Co which does not have a subsidiary co but has associate or jv co , they are not required to prepare CFS for the F/Y commencing from the 1st day of April, 2014 and ending on the 31* March, 2015

16 Conditions of issue of warrant
Regulation 4(3) of sebi(icdr)regulations 2009 Warrant may be issued along with public or right issue of specified securities subject to the following: The tenure of such warrants shall not exceed 12 months from their date of allotment in the public /right Sebi(icdr)(amendment)regulations, 2015 For the word 12 months, 18 months shall be substituted  New clauses added  (c) the price or conversion formula of the warrants shall be determined upfront and at least 25% of the consideration amount shall also be received upfront. (d) in case the warrant holder does not exercise the option to take equity shares against any of the warrants held by him, the consideration paid in respect of such warrant shall be forfeited by the issuer Amended conditions for issue of warrant are as follows: a)The tenure of such warrants shall not exceed 18 months from their date of allotment in the public /right b)Not more than one warrant shall be attached to one specified sercurity.  c) the price or conversion formula of the warrants shall be determined upfront and at least 25% of the consideration amount shall also be received upfront. (d) in case the warrant holder does not exercise the option to take equity shares against any of the warrants held by him, the consideration paid in respect of such warrant shall be forfeited by the issuer

17 Right issue sebi(icdr)(amendment)regulations 2015 Regulation 54(7)
The part payment on application shall be minimum 25%.
