Effective: 1 July 2017 5 key changes: Commission adjustment for the Vodafone & Energy products Increase in Personal Customer Points requirement Increase to Downline Residual requirements Modified Platinum RVP qualifications Adjustments to grace periods

3 Changes to the Compensation Plan
1. Commission adjustment for Vodafone services Reduction in Vodafone Commission rate on monthly connection plan fees Effects New and Existing customer sales No impact on total billable revenue No reduction in Commission rate on monthly upgrade plan fees Any existing upgrade customers prior to 1 Jan 2017 – will reduce to 50% earning rate AU/NZ (Current) AU/NZ (New July 2017) New Connection: 100% of monthly plan fee selected at application New Connection: 85% of monthly plan fee selected at application

1. Commission adjustment for Energy services Reduction in commissionable amount for both Residential and Business Impact on total billable revenue Product AU/NZ (Current) AU/NZ (New July 2017) Residential Electricity 50% of $60 is commissionable at standard rates 50% of $50 is commissionable at standard rates Residential Gas 50% of $40 is commissionable at standard rates 50% of $30 is commissionable at standard rates Business Electricity 50% of $80 is commissionable at standard rates 50% of $70 is commissionable at standard rates Business Gas

Personal Customer Points requirement Increase in total Customer Points required to achieve maximum earning rate from 60 points to 75 points Personal Commission percentage changes to majority of band tiers AU/NZ Current New July 2017 1 – 29 customer points =1% No change 30 – 39 customer points =3% 30 – 49 customer points =3% 40 – 59 customer points =5% 50 – 74 customer points = 5% 60+ customer points =10% 75+ customer points =10%

4. Modified Platinum RVP qualifications Limited the maximum billing per leg to $100,000 from $125,000 Platinum RVPs (who have already achieved status by 30 June) can qualify using a max of $125,000 per leg until 1 January, 2018

5. Adjustments to Grace Periods Position AU/NZ (New July 2017) ETTs & ETLs 15 day grace period TC 15 days grace period 20 point buffer (ie min 580 points) If demoted (after grace period) need to requalify at 600 points RD Maintain RD for 3 consecutive mths & earn extra 1 mth of grace from when either: TC leg loses qualification 200 point leg drops below 180 pts Failure to maintain position for 3 consecutive months: 15 days grace period if TC leg loses qualification

5. Adjustments to Grace Periods cont. Position AU/NZ (New July 2017) RVP Maintain position (with 4 TC legs) for 3 consecutive months and receive 2 months grace period from when either: TC leg loses qualifications billing drops below $100,000 Maintain position (with 4 TC legs and billing) for less than 3 consecutive months and receive no additional grace period beyond either: TC grace period

5. Adjustments to Grace Periods cont. Position AU/NZ (New July 2017) SVP Maintain position for 3 consecutive months and receive 2 months grace period from when either: TC, RD, or RVP leg loses qualifications billing drops below $500,000 Maintain position for less than 3 consecutive months and receive no additional grace period beyond either:
