Board Meetings As per 2013 act the first meeting of the board of directors of every company must be held with in 30 days of its incorporation. The act further requires that not more than 120 days shall intervene between two consecutive board meetings.

Procedure of convening Board Meeting
Arrangements- By the chairperson and company secretary Notice- before 7 days Communication of intention by director to participate by video- At the beginning of calendar year(valid for one calendar year) Roll Call- By the chairperson, condition regarding quorum is to be checked Statutory Registers- Participation of directors and voting Restriction of access Decision Minutes

Matters not to be dealt through video conferencing
The approval of the annual financial statements The approval of the board’s report The approval of the prospectus The audit committee meetings for consideration of accounts The approval of the matter relating to amalgamation, merger, demerger, acquisition and takeover.

Procedure to hold board meeting for OPC/Small Company/Dormant Company(section-173)
At least one meeting of board of directors to be conducted in each half of the calendar year. Gap between two meetings should not be less than 90 days.

Place and time of holding board meeting –No specific provision
Quorum- one third or two directors whichever is high -quorum should be disinterested -quorum should be present throughout the meeting -adjournment for want of quorum -passing of resolution of circulation Agenda of board meetings Chairman at board meeting Resolution by circulation Voting by directors Directors attendance book Minutes of board meetings
