Section 9, Conflict of Interest:
The TDC Chair will determine at their discretion if the TDC Member is ineligible to vote. However, the TDC Member may still discuss the Trading Dispute at the discretion of the Chair.
The TDC Chair will determine at their discretion whether an appointed member hat has declared a conflict of interest should be present for Trading Dispute discussions or relevant votes.
Section 6.4, Minutes of Meetings:
To facilitate transparency, the TDC secretary will publish a Headline Report listing the TDC’s decisions within three (3) Working Days of the meeting. The TDC has delegated authority to the TDC Chair to approve the Headline Report.

9. Terms of Reference redlining (2/2)
Section 4, Quorum and Decision Making
No business is to occur at the meeting unless a quorum is present. A quorum is a minimum of at least five (5) voting TDC members including:
Two (2) Wholesaler members; and
TwoThree(32) Retailer members; and
One (1) Wholesaler or Retailer member.

10. Recommendation The TDC is invited to: NOTE the contents of this paper;
AGREE on changes to the Terms of Reference; and
RECCOMMEND the changes to the Panel for approval.
