The Secretary is: Member of leadership team Member of Executive Committee Officer on Board of Directors Official witness

Recording or Corresponding
Some chapters have both a Recording Secretary and Corresponding Secretary. In that case, duties are split, with the title being self explanatory.

Attend all Board meetings
Duties of Secretaries Attend all Board meetings Record a true and accurate rendition of meeting minutes Verbatim report of discussions is not required Motions and results are reqiured

Duties Keep record of: Maintain Board records and archives
Appointments Board decisions or instructions Board Attendance Maintain Board records and archives Communicate with chapter members regarding programs, general information, & meetings Maintain chapter mailing/ list Distribute correspondence

Duties Ensure safety and accuracy of all Board records
Provide proper notice of all meetings, according to bylaws Ensure minutes are distributed to members as soon after each meeting as possible Be familiar with organization’s legal documents: Articles of Incorporation Bylaws IRS correspondence/State and local filings

Duties Receive correspondence of the chapter and distribute to all appropriate parties In consultation with President or other responsible individual, respond to requests, invitations, etc. All outgoing correspondence should be reviewed/edited for content, grammar and punctuation Report on correspondence received and disposition thereof.

Duties Serve as a clearinghouse and coordinator for correspondence, announcements and general information about the organization from committees Perform duties of the President in her absence and the absence of the Vice Presidents

Confidentiality & Ethics
Many legal and financial entities require certification of board actions by the secretary before they will process certain documents and ownership changes. Secretary’s role is a position of trust and requires strict confidentiality and ethical behavior.
