2 Executive Summary The Business: Abacus Health Products develops, markets and sells an FDA-registered, over-the-counter (OTC) line of topical pain relieving products infused with cannabidiol (CBD), which is a medicinal, non-psychoactive extract of cannabis. The Technology: Abacus’ products use a combination of CBD and terpenes with varying concentrations of FDA approved analgesics to ameliorate pain symptoms. A patent has been filed and is pending to help protect our core CBD technology. Markets: Thus far, the products have been sold primarily to chiropractors, massage therapists and acupuncturists. In just its first year of operations, Abacus has captured an estimated 10% of the US chiropractor market alone*. Abacus recently launched into the consumer retail market with initial focus on fitness markets, such as cross-fit, running and yoga. Market Penetration:, Abacus had 2017 sales of $3.4MM. In Q1 and Q2 of 2018 revenues continued to rise to over $1MM/month with an annualized run rate of $12MM. *Based upon repeat sales reported by distributors, measured against all actively practicing US chiropractors.

4 Product Breadth CBD CLINICTM | B2B CBD MEDICTM | B2C
Abacus manufactures two distinct product lines, CBD CLINICTM for B2B and CBD MEDICTM for B2C sales. CBD CLINICTM | B2B CBD CLINICTM products were introduced into the practitioner marketplace in Q4/2016 promoting extended pain relief for acute & chronic pain sufferers. The product line includes creams and ointments available in jars, a line of massage oils and a roll-on pain stick. The jar line offers 5 different formulations to address 5 levels of pain (displayed above). CBD MEDICTM | B2C CBDMEDICTM products has launched Q3/2018. The product line includes creams and ointments available in tubes, and single-use packets for quick on-the-go use. Several pipeline products are in development.

5 Intellectual Property
Management has over 15 years experience developing topical products and obtaining patent protection for them. Abacus filed a patent application having sufficient breadth to help protect its core technology. Core Technology A. 6 Regulatory Liberalized global regulations for CBD has created a window of opportunity to establish a dominant international brand. FDA Registered/GMP Compliant: Abacus’s products are manufactured by an experienced dermatological pharmaceutical manufacturer of topical OTC products (Aidance Scientific) that are sold into the mass retail and consumer markets. All finished products meet cGMP compliance requirements in an FDA registered and audited facility. Legal CBD: Our CBD-rich hemp extracts are sourced from quality controlled hemp farms that meet state and federal guidelines for safety and legality. Although there is confusion on the federal level of the legality of CBD oil, the regulation passed by Congress in the US Farm Bill in 2014 exempts hemp extracts with less than 0.3% of THC from a Category 1 drug and allows its use and transport across state lines. THC Free: Abacus’s products are either completely free of THC or are at concentrations that are substantially below the regulation at <0.001%. It is virtually impossible for a patient to be affected psycho-actively or to fail a drug test by using our products. Global Manufacturing: Abacus will consider building its own manufacturing facility outside the US as well as strategically aligning itself with manufacturers in foreign countries where CBD production is legal. This will enable Abacus to decrease regulatory risk factors across its markets and assure consistency of supply.

8 Supply Chain The supply chain at Abacus is uniquely qualified to support the leading brand in the industry. Aidance Scientific - Parent Company: Abacus contracts out its supply chain needs to its parent company and largest shareholder, Aidance Scientific, LLC. Aidance manufactures and supplies products to major retailers CVS and Walgreens, and ships over 200 SKUS to over 150 countries. Aidance’s supply chain system is well established and is capable of meeting Abacus’s strong sales growth. In Q2/2018, Aidance is expanding its capacity 3X to stay ahead of both its own and Abacus’s growing supply chain demands. Outside Sourcing: Abacus will evaluate building its own FDA-registered manufacturing facility in the US to ensure continuity of supply. Our management team has the expertise and ability to establish such a facility within 4-6 months. Global Production: Abacus intends to build and/or strategically align itself with manufacturers overseas in order to better serve foreign countries with competitive priced CBD-infused products by manufacturing the products locally or in neighboring countries. CBD Supply: Abacus regularly uses up to 3 different suppliers for its core hemp extract oil. All have gone through full spectrum testing of their hemp oil to assure our formulations will remain efficacious, stable, and produce repeatable quality and performance.
