2. Profile of the Company
D+H Solutions India Private Limited (‘D+H’ or ‘the Company’) (Formerly known as ‘HFS Software India Private Limited’ and SRC Software Private Limited) is a company incorporated on 22 August 2003.
D+H is a leading provider of secure and reliable technology solutions to domestic and global financial institutions with a reputation for being a trusted partner that helps clients build deeper, more profitable relationships with their customers based on rich industry and market insight, and consumer knowledge. 
Today, approximately 8,000 banks, specialty lenders, community banks and credit unions rely on D+H to deliver solutions across three broad service areas: Banking Technology Solutions, Lending Solutions, and Payments Solutions.
Our integrated, compliant technology solutions enable clients to grow, compete, and optimize their operations, while our forward looking approach helps them stay ahead of the market and anticipate changing consumer needs.
The Company has entered into an agreement dated 25 September 2012, with D+H USA Corporation (‘D+H USA’) to perform various consulting activities related to development of systems and software that D+H USA may require from time to time.
The Company is a captive unit that provides services only to its foreign holding company as per the terms and conditions laid out as per export agreement entered with those companies.
Hence, the Company does not have any external Marketing Tie-Ups for procuring export orders and services.

3. Brief Background of the Promoters
The Company was incorporated as SRC Software Private Limited on 22 August The promoters of the Company were Bysakh Bhasi and Dayamohan.
During the year , 99.99% shareholding was acquired by Harland Financials Solutions, Inc. following which the Company was renamed as HFS Software India Private Limited.
During the FY , HFS and its group companies have been taken over by Davis & Handerson Group (‘D+H Group’ or ‘the Group’), Canada. The shares in the Company are currently held by D+H a.r.l. Luxembourg and D+H Limited, of the D+H Group.
