2 President’s Letter Dear Colleague:
Academy Solutions Group, LLC is committed to the highest professional and ethical standards in conducting business. Accordingly, we have tried to capture some of the most salient points to help guide us in our dealings with the Government, other companies, and individuals. Rather than being a list of do’s and don’ts, our ethics document is an outline of our philosophy of how we do business. It is part of our corporate culture and how we do business. Consequently, we expect the same level of conduct and ethics in dealing with other companies. Please take a moment to review our Business Conduct and Ethics document to familiarize yourself with our philosophy on how we will operate as a company and as individuals. If you have questions, feel free to contact me to discuss. Additionally, if you have suggestions on how to improve our document, they are welcomed and will be considered for incorporation into our document. Our Government customers, our business partners, and the folks we deal with on a daily basis are key to the long‐term success of our company and we will continue to engage them in business in an ethical manner. 3 Important Ideas Every year on the cover of a Girl Scout cookie box there is a slogan; “courage, confidence and character”. These are important ideas that we would all like to support because they help our community to develop good citizens; and the cookies taste good as well. We understand this slogan and want to live by these ideas. It is the “grey areas” in business where good conduct or ethical decision making is not readily apparent, that we need additional discussion and policy. The purpose of this ASG business conduct and ethics policy is to identify and define what goals and values we cherish; and to assist our people in good decision making.

4 Minimum Standards of Conduct
Our USA military honor code still expresses what most of us in the Defense Industry expect from ourselves and our colleagues in the business work place and that is; “We will not lie, cheat or steal nor tolerate those that do.”

5 The Highest Standards of Conduct
1. Our people are expected to act honestly in business dealings with our customers and provide high‐ quality products and services. 2. Our people are expected to promote the highest ethical values as expressed in our written codes of business conduct, nurture an ethical culture through communications, training, and other means, and comply with and honor all governing laws and regulations. 3. Academy Solutions Group, LLC is committed to establish and sustain effective business ethics and compliance programs that reflect our commitment to self‐governance, and encourage our colleagues to report suspected misconduct, forbid retaliation for such reporting, and ensure the existence of a process for mandatory and voluntary disclosures of violations of relevant laws and regulations. 4. Academy Solutions Group, LLC is committed to follow Defense Industry best practices, in terms of business conduct and ethics, through educational forums, compliance programs and reporting. These annual reports will describe our efforts to build and sustain a strong culture of business ethics and compliance.

6 Principles of Ethical Conduct
1. To ensure our customer can have confidence in the integrity of ASG, each employee shall respect and adhere to the fundamental principles of ethical service and implemented policy. 2. Employees are not to place personal gain above welfare of the company. 3. Employees shall not engage in financial transactions using company information to allow improper use of such information to further any private gain. 4. Employees shall not solicit or accept any gift, except as allowed by law, or other item of monetary value from any person or entity seeking action from or doing business with or conducting activities whose interests may substantially be affected by the performance or nonperformance of an employee’s duties. 5. Employees shall put forth honest effort in the performance of their duties.

6. Employees shall make no unauthorized commitments or promises of any kind purporting to bind the corporation. 7. Employees shall not use the corporation’s office for private gain. 8. Employees shall act impartially and not give preferential treatment to any private organization or individual. 9. Employees shall protect and conserve company property and shall not use it for other then authorized activities. 10. Employees shall not engage in outside employment or activities, including seeking or negotiating for employment, that conflict with duties and responsibilities. Additionally, employees shall seek prior approval of their supervisor before engaging in outside employment.

8 Principles of Ethical Conduct
11. Employees shall disclose waste, fraud, abuse and corruption to appropriate company officers. 12. Employees shall satisfy in good faith their obligations as citizens, including all just financial obligations, especially those of Federal, State and local taxes that are imposed by law. 13. Employees shall adhere to all laws and regulations that provide equal opportunity for all Americans regardless of race, color, religion, sex, national origin, age or disability. 14. Employees shall endeavor to avoid any actions creating the appearance that they are violating the law or ethical standards.

9 Customer Satisfaction
Quality Policy Academy Solutions Group LLC is committed to consistently achieving customer satisfaction for on-time delivery of quality customer services and complying with all regulatory and statutory requirements. This policy is achieved through customer focus, continuous improvement and employee empowerment, training and teamwork. Our company values integrity and honesty in all our dealings with customers, vendors, and employees.
