6 Metro Nashville Public Schools – Case Study
Gary Appenfelder Director of Purchasing 85,000 students 153 public schools Metropolitan Nashville Public Schools (MNPS) is a consolidated city-county school district, serving more than 80,000 students who reside in Nashville and Davidson County, Tennessee. There are 153 public schools in Nashville, including 15 charter schools. 73 elementary (PreK-4) 33 middle (5-8) 25 high (9-12) They have been a customer of our for almost at year and you will see some of the results from their using DocuSign I know the next question is who in TX is using DocuSign – Univ. of TX is using DocuSign for Intent to Sign with their athletes… DOCUSIGN CONFIDENTIAL

7 Contract Process Contract Process before using DocuSign – most contracts require 13 to 17 reviews and signatures plus 2 to 6 carbon copies before they can be completed. It required Gary’s staff to make copies, mail to each reviewer, keep track of who had signed and who hadn’t signed, search for lost documents in the process, and remind folks it was in their inbox for review. With DocuSign, Gary’s staff creates the contract one time, sends to all recipients at once for review, able to send automatic reminders, able to see where things are in the process, and you will see on the next page the results. How many days do you think it took Gary and his staff to process a contract using the process I just described?

8 100% increase in vendor contracts
Results 100% increase in vendor contracts Truly paperless Average # of Paper Signing Days Average # of DocuSign Days Contract processing reduced to less than 12 days and still declining. Able to process more vendor contracts than prior year – helping serve my clients who need vendor contracts. Over 400 vendor contracts in the last year. No longer print contracts – allowing us to go “green” in our procurement office. The average office worker printing costs are $350/year (10,000 x .035) Eliminate office equipment : printer capital/maintenance, filing cabinets, folders, labels, paper Printer toner: more expensive than French perfume by volume – reference student recommendation to federal govt – changing font size

9 Contracts

15 Are Electronic Signatures Legal?
Two Acts establish the legality of electronic signatures in the United States : - Electronic Signatures in Global and National Commerce Act (ESIGN, 2000) - Uniform Electronic Transactions Act (UETA, 1999) Both ESIGN and UETA establish that electronic records and signatures carry the same weight and legal effect as traditional paper documents and handwritten signatures. Only DocuSign warrants ESIGN compliance. Sharon United States There are two Acts that establish the legality of electronic signatures in the United States – the Electronic Signatures in Global and National Commerce Act (ESIGN, 2000) and the Uniform Electronic Transactions Act (UETA, 1999). Both ESIGN and UETA establish that electronic records and signatures carry the same weight and legal effect as traditional paper documents and handwritten signatures stating: A document or signature cannot be denied legal effect or enforceability solely because it is in electronic form. Not all eSignature solutions are created equal. Only DocuSign warrants ESIGN compliance. – what does this mean to them? United Kingdom (UK) In the UK, the equivalent legislation to the ESIGN Act in the USA was also established in 2000, and is called the UK Electronic Communication Act. DocuSign is the only company that warrants its eSignature solution to be compliant with this act. European Union The adoption of the European Directive 1999/93/EC of 13 December 1999 establishes a Community framework for the use of electronic signatures on electronic contracts in the EU. Thirty European countries (EU-27, Croatia, Turkey and Liechtenstein) have already implemented Directive 1999/93/EC. Electronic signatures are actively in use in Europe, and DocuSign’s advanced signature is legally admissible and enforceable in the European Union. Rest of the world Almost every civilized country in the world has adopted an electronic signature law, and the vast majority recognize DocuSign’s form of electronic signature as meeting the definition of a valid electronic signature.

16 Highest & Broadest Set of Security Certifications
Confidentiality Documents and data are private, and access is workflow controlled Integrity Documents, both in progress and completed, are tamper-proof Authenticity 3rd parties (e.g. courts) can rely on validity of signers and documents Non-Repudiation Documents are technically, legally, and procedurally irrefutable Availability Critical service is accessible to customers 365x24x7 CUSTOMER BENEFITS Data Privacy Protection Of Data Global Security Gold Standard: ISO 27001 Streamlined Process for EU Privacy Law Compliance Security Framework Service and Reliability Something we treat extremely seriously at DocuSign. No other company can match the security and compliance investments DocuSign has made – and we are proud to say we have year after year of clean audits. Here’s why security is a key differentiator for DocuSign: DocuSign is ISO (“Eye-So”) certified as an Information Security Management System. This is the highest level of global information security assurance available today because it requires that management: Systematically examine the organization's information security risks, taking account of the threats, vulnerabilities, and impacts; Design and implement a coherent and comprehensive suite of information security controls and/or other forms of risk treatment; and Adopt an overarching management process to ensure that the information security controls continue to meet the organization's information security needs on an ongoing basis. We are the *only eSignature service* certified to this specification. We are SSAE 16 examined and tested annually to define our security framework for our customers. These in-depth third party audits provide assurance regarding the effectiveness of those controls and the reliability of our service. DocuSign is PCI DSS 2.0 compliant as both a service provider and a merchant with annual examination and testing of a comprehensive scope of general computing controls essential to protecting payment card data security. The PCI Standards Council provides comprehensive standards and supporting materials to ensure the safe handling of cardholder information at every step. The keystone is the PCI DSS, which provides an actionable framework for developing a robust payment card data security process -- including prevention, detection and appropriate reaction to security incidents. DocuSign is TRUSTe certified, which means our privacy policy clearly defines the limited collection and use of customer data to provide eSignatures. TRUSTe's privacy seal is recognized and trusted by millions of consumers as a sign of responsible privacy protection practices—ensuring compliance with evolving and complex privacy requirements As a member of the US Dept of Commerce Safe Harbor, we ensure compliance with EU Directive 95/46/EC on the protection of personal data Having been responsible for the State of NC two central data centers – I know the hard work it takes to meet these requirements and to remain diligent with constant review and monitoring and I also know how difficult it can be to attract and retain certified staff to manage security and data. Our security staff are available for more detailed discussion. DOCUSIGN CONFIDENTIAL
