2 Company secretary Private companies no longer need to have a secretary s270

3 Execution of deeds In addition to existing methods Deeds can be executed by ONE director in the presence of an attesting witness s44(2)(b)

5 Filing of accounts For financial periods beginning on or after 6 April 2008, deadlines for filing accounts have been shortened by one month s442

6 Availability of accounts Official list companies must publish accounts on website ASAP, s430 Private companies no need to lay before members at AGM (unless Articles say so) must circulate to members by date of delivery to registrar, and no later than the filing deadline (s424)
