2 About Company Rock Energy Inc. is a junior oil and gas (60% Oil & 40% Gas) company currently producing more than 3,600 boe/day from two main core areas (Plains/Lloydminster and West Central/Deep Basin). During the last four years Rock has consistently generated solid performance in production/reserves growth. In 2006 Rock delivered top-quartile finding and development costs. Today, the Company has an inventory of more than 100 drilling locations (50 Oil & 50 Gas) which includes a variety of projects generating a full range of risk and reward plays (low risk development locations to high impact exploration projects). 2

3 About Company 3 Heavy Oil – 100% WI Rock has a portfolio of 50 low risk, heavy oil drilling locations in the Plains core area. These projects are held at 100 percent working interest, are Company operated and can be brought on-production quickly. With changes in the heavy oil marketplace providing narrowing price differentials and higher netback prices, this production is generating solid cash flow and rates of return. This provides foundation of production and cash flow for Rock. Natural Gas – 35% WI Our 50 natural gas drilling locations in the West Central core area will provide significant growth and upside opportunity for Rock. In this area the company is focused on the deep basin multi-zone stacked gas and light oil plays. New completion techniques have reduced the cost of bringing this production on-stream as we combine production and reserves from numerous formations. During 2009 Rock will be testing several of these prospects which could substantially increase the value of the company.

5 Management Allen J. Bey - President and Chief Executive Officer Allen Bey is a Professional Engineer with 24 years experience in the oil and gas industry. Mr. Bey graduated from the University of British Columbia in 1982 with a Bachelor of Science degree in Mechanical Engineering. In 1997 he founded Avid Oil & Gas Ltd. where he was President, Chief Executive Officer and Director until it was sold to Husky Energy Ltd. in July 2001. Jeff Campbell - Vice President, Operations and Chief Operating Officer Most recently Mr. Campbell held the position of Executive Vice President (Country Manager) at Seneca Energy Canada Inc. At Seneca, he was responsible for setting the corporate direction, managing the entire Canadian operation, and negotiating the sale of the company in August 2007. Prior to this assignment, Mr. Campbell was a co- founder in Avid Oil and Gas Ltd. At Avid, Mr. Campbell served as Vice President of Operations and was instrumental in building the company to more than 6,000 boe per day production before its sale to Husky Energy Inc. 5

6 Management John Van de Pol – Vice President of Finance and CFO John Van de Pol will be joining the company on April 13, 2009, as the vice-president of finance and CFO. Mr. Van de Pol has over 29 years of experience in the industry, the most recent of which was as the CFO of Northrock Resources Ltd. Mr. Van de Pol was Northrock's only CFO from 1993, to its sale to TAQA in 2007, while the company grew from 500 barrels of oil equivalent per day to over 40,000 barrels of oil equivalent per day. In conjunction with this addition to the executive team, Rock has agreed to issue 300,000 flow-through shares to Mr. Van de Pol at a price of 73 cents. 6
