Election of Officers & Directors 2010 to 2011 Terms
26
Slide 26 NCDXC June 10 Bylaws Limit of Directors The NCDXC Bylaws set the number of elected directors to 2 For the last couple of years we have had more than 2 qualified people interested in serving as a director Last year we established an “Ex Officio” position (non-voting) This year we have 4 very well qualified announced candidates for director
27
Slide 27 NCDXC June 10 Directors Election If we have 4 nominated candidates for director we will need to go to a written ballot The two candidates who receive the most votes will be elected The other two will not be able to serve under the current Bylaws
28
Slide 28 NCDXC June 10 Revisions to the Bylaws The membership of the NCDXC may change the Bylaws via a vote at a regular scheduled club meeting It is proposed that we vote to increase the number of elected directors to 4 One suggestion is that we set the minimum number at 2 and a maximum of 4 and allow the board to set the number to be elected each year Do I have a motion to increase the number of directors? Second? Vote
