From Lecture Hall to Production Floor Academia Industry Ramot at Tel Aviv University Ltd. Presented by Larry Loev

Academia – Common Myths Research is not applicable to the real world University personnel don’t understand industry time frames Industrial standards can’t be maintained The urge to publish damages confidentiality

Why Academia? Top researchers Peer reviewed technology Lab facilities “Cross-fertilization” Technologies with wide applications IP vigorously protected

Challenge: Contrasting Cultures University Social responsibilities Pure scientific driven research Create new knowledge Corporate Shareholders responsibilities Specific objectives, product focused Develop new products Applied research Ownership & secrecy Control of material Basic research Publications & collaborations Sharing of material

The Facilitator The University Tech Transfer Office

Case Study: Ramot at TAU Ramot Objectives To foster, initiate and lead the transfer of new technologies from the laboratory to the marketplace To strengthen the relationship between University research community and the business community

Ramot - Board of Directors Industry, Venture Capital, Law –Mr. Dov Lautman, Chairman of Delta Galil Industries –Dr. David Haselkorn, former president of Clal Biotechnologies –Mr. Moshe (Mori) Arkin, Vice Chairman of Perrigo –Mr. Hemi Peres, GP, Pitango Venture Capital –Mr. Shmaryahu Shapiro, CEO, Technorov holdings –Ms. Tally Eitan, Adv., Eitan Law Group University leadership & scientists –Professor Hagit Messer-Yaron, Ramot Chairperson, VP Research & Development –Professor Zvi Galil, President –Mr. Mordehai Kohn, Director General –Professor Dany Leviatan, Rector –Professor Yair Aharonovitz, –Professor Yoel Kloog, Dean, Faculty of Life Sciences

Tech Transfer Process Revenues Discovery & Innovation Evaluation Patenting & Marketing Strategy Business Development Follow Up on Contract Academic Basic and Applied Research

Ramot Organization  Business Development  Engineering, Computer Science, Exact Sciences  Life sciences  Medical devices  IP management  Legal

Bridging the Development Gap A Development Gap lies between discovery and commercialization Required: applied research, first prototype stage –Looks like a product, performs certain specs Solution: feasibility research –Sponsored by target licensee –Sponsored by special funds (Ramot Fund, Partnership, etc.)

Deal Models  Research Funds  Fees and Milestones payments  Running Royalties  Equity participation Research and Development Agreements Funded by companies, Israeli government Licensing Deals Licensing of IP, know how to an existing company New venture formation / Spin-offs Licensing of IP to the start-up company

“Lines in the Sand” IP - the heart and soul of a University’s property Product Diligence – Responsibility to the public

Tel Aviv University Established 1956 9 faculties, 24 schools, 105 departments over 100 research institutes 30,000 students, 1,800 of them are doctorate students 2,200 faculty members About Tel Aviv University Research Highlights Life sciences (120 researchers( Medicine (130 researchers( Exact sciences (240 researchers( Engineering (110 researchers) 600 researchers are affiliated with the main medical centers in greater Tel Aviv area

Development Gap  funding  Potential licensee point of view (answer the right questions…) Funding of Research by target licensee  Funding of Research by target licensee under an R&L/R&O agreement under an R&L/R&O agreement  Funding of Research by special funds: Stringent screening process based on both commercial and scientific criteria. Plan, Budget & Milestones Stringent monitoring of the process. Industry Requirements A prototype, Looks like a product, performs certain specs Pre-clinical results, efficacy in animal models, Toxicology

* Funded by the Yeshaya Horowitz Association, Jerusalem  Philanthropic funds  Tel Aviv University Fund for Applied Research*  The Colton Family Next Generation Technologies Institute  “TAU Fund for Applied Research” supports 7-10 projects per year, $3M in 2003-6  Projects are selected following a stringent process by Ramot and a professional committee, to meet commercial as well as scientific criteria  “The Colton Fund” - Matching funds by Johnson & Johnson Bridging the Gap (I)

 A corporate partner allocates an annual amount to support of research in pre-defined areas of interest.  The fund solicits highly promising projects with IP position, development plan and clearly defined commercialization path  A joint steering committee of the corporate partner, TAU and Ramot evaluated and selects projects  Ramot provides strategic and scientific guidance with a clear market focus  The corporate partner has certain rights in the IP generated in the research  Two such multi-million dollar funds are currently operational: nano-technology and smart-cards Bridging the Gap (II)

Bridging the Gap (III) TAU-Tech TAU Future Technology Partnership (TAU-Tech) Return on investment Tel Aviv University technologies Industry Licensing: royalties and fees Start-ups: Equity participation Ramot: Technology management Business development Technology transfer investment $8.5M

TAU-Tech Projects Biotechnology  Drug candidates for Alzheimer’s Disease  Drug candidates for type II diabetes  Novel cancer targeted drug delivery system Medical Devices  Direct lung fluid monitoring system for congestive heart failure patients in Clinical Trials  Optical Micro-Biosensors for Biomedical Diagnosis Energy & Electronics  Fuel cells for mobile electronics and industrial applications  Micro-battery on a chip

License IP Protection & Commercialization Strategy: License Mouthwash R&L (Israel) Product R&L (UK) Product 20% UK market share Alzheimer’s TAU Fund Proof of concept TAU Tech Lead compound Pre-clinical package R&L Schizophrenia R&L (BioLineRx) Drug Candidate Phase II – Q4 ‘07 Commercialization paths
