2 “Proof of a governance structure that can deliver an integrated and sustained system by incorporating, enhancing and supplementing existing infrastructure and expertise in the region.”

3 1. Documentation of a legal structure

4 Binding agreement between/among two or more organizations Provides a fiscal agent with responsibility to accept and expend funds and enter into enforceable contracts Insurability

5 2. Adoption of a membership policy

6 Specify one or more categories of members Specify how members may join or be removed from the RA Provide for membership from entire geographic region Ensure diverse membership

7 3. Creation of a governing board

8 Established through articles of agreement Is public in all transactions Provides for representation to NFRA Appoints chief administrator or executive body with responsibility and authority to implement decisions of Board Bound by procedures in calling meetings and reaching decisions Develops metrics to monitor, analyze and improve system performance Includes members who reflect the diversity of users and members of the RA

9 Exercises powers and responsibility to ensure autonomy: –adopt and execute a business plan –authorize execution of grants, contracts –determine distribution of funds –establish policies of the RA –amend the terms of agreement –carry out such other powers and responsibilities as designated by the terms of agreement

10 4. Formally involves users or their representatives who will use the data and information products generated by the Regional Association or its component organizations and who will provide similar data and information products

11 Establish an advisory council representing a significant share of users and providers identified in the business plan Maintain an active outreach and marketing program including an education program
