4 Board Roles and Responsibilities Legal Responsibilities Duty of Care – do what “an ordinarily prudent person” would do Duty of Loyalty – don’t act for personal gain & act in best interest of organization Duty of Obedience – be faithful to the mission & manage resources of organization

5 Other Roles and Responsibilities Set the mission Hire and fire executive director Support and evaluate executive director Ensure effective planning Review and approve major decisions Monitor and strengthen programs Ensure adequate financial resources

6 More Roles and Responsibilities Evaluate progress Fiduciary oversight (budget, tracking financials, protect assets, financial systems) Review and approve major decisions Inform community/advocacy Ethical & legal behavior oversight Approve major contracts

7 Day to Day Responsibilities Be informed on programs, funders, policies Review materials before meetings Serve on committees Make “meaningful” annual contribution Suggest board, committee members Help with fundraising
