Omni Oil & Gas, Inc. , together with its affiliates Omni E & P, Inc
Omni Oil & Gas, Inc., together with its affiliates Omni E & P, Inc., Omni Rockdale Resources, Inc. and Omni Fairfield Geophysical, Inc. ( collectively, “Omni” or the “Company”), is a privately held E&P company headquartered in San Antonio, Texas. Leader in drilling and operating shallow wells and enhanced recovery systems Drilled over 750 shallow wells since 2004 Increased annual production since 2010 by 3.5x to 230,000 bbl in 2012 Another increase in 2013 to 293,747 bbl

How is a Well Drilled? Obtain a permit to drill the well
Build location and install conductor Rig up and install BOPE Drill to bottom depth Run casing and cement back to surface Log hole to identify top of producing zone Perforate producing interval Frac well

How is a Well Produced? Install tubing, pump and sucker rods to top of perforations with work-over rig Install pumping unit Connect sucker rods to pumping unit Produce well

Minerva-Rockdale Field

Location The Minerva-Rockdale field, located in Milam County, Texas, is approximately 60 miles NE of Austin First discovered in 1921 near Cattail Creek in Minerva and was one of Texas’ major working fields The Field is at least 12 square miles or 7,680 acres Austin
10
Minerva-Rockdale - Geology
Main producing formation is the Upper Cretaceous Navarro Group of sands and shales Typically subdivided into several producing zones from the uppermost “A” and “B” sands to the lower “C” Typically, wells are drilled on five (5) acre spacing units and it is estimated that each well can produce between 25,000 to 33,000 bbl oil Drilled from depths of 250’ to 1800’ Shallow depth and type of drilling and completion methods result in no dry holes The Navarro formation is re-pressured with success due to the following: Formation is solution gas driven and is almost always loaded with light crude (30 gravity or higher) Unconsolidated sands and clays pressure up rather then float when water is introduced to the zone No faulting trap is necessary to “hold” the water in the formation and trap the oil By replacing the 20 to 25% pore space that the gas originally took up in the oil and which has been vented, the initial bottom hole pressure can be duplicated by replacing produced oil and water with injected salt water
11
Reserves & Previous Drilling
Reserve estimates for the field vary and are limited in number Total production since its discovery through has only been 8,2272,140 bbl oil(1) Potential to produce MMbbl and is considered a “Sleeping Giant”(2) Mr. Dickerson has extensive knowledge of Minerva-Rockdale In 1991 and 1992, he drilled 150 new Navarro wells for Penrod on the Koonsen and Louis Leases Water Flood Program / Pressure maintenance system was planned but not implemented Ensco International purchased Penrod in 1993 and shortly thereafter sold off its land-based drilling rigs(3) (1) RRC, Texas Drilling Observer & Petroleum Engineer Charles Zandell (2) Petroleum Engineer Charles Zandell (3)

Location & Production Fairfield & Chicon Lake fields are partially located in Bexar and Medina Counties in Southeast Texas Annual production has averaged 27,983 bbl from 2000 through 2012 per RRC 51,185 bbl were produced in 2013 from 34 operators per RRC Omni accounted for 30.49% or 15,608 bbl Austin Milam County Minerva-Rockdale Oil Field Bexar County Fairfield & Chicon Lake Oil Fields Medina County

Omni in Fairfield and Chicon Lake
Chicon Lake/ Fairfield has many of the same attributes as Minerva-Rockdale Initial rates on recently completed wells are averaging over 5 bbl/day/well Omni believes the Fairfield and the Chicon Lake will prove to be even more successful than Minerva-Rockdale It currently has over 1,900 acres which can support at least 475 more wells Estimated 32,270 recoverable barrels of oil per well from Escondido C/D & Olmos dual-completions based on reserve study by BRAZOS GEOLOGICAL CONSULTING, LLC dated March 21, 2013 Estimated 25,230 recoverable barrels of oil per well from the Anacacho alone based upon review of Benjamin Stevenson Wells are currently being completed in the Anacacho formation at a depth of 1,400 feet, with the possibility of adding the Escondido C/D and Olmos formations to bolster daily production in the future.
