Welcome, and thank you for taking the time to learn more about Mannatech, its products and the opportunities we offer through the Cornerstone Training system. In this module, you are going to learn what compliance is and why it is important. We’ll cover when and how you may use Mannatech's trademarks, logos, etc; use of promotional and product claims; and third-party materials. These are all the information you need to maintain a compliant business. What is Compliance, and why is it important? What is Compliance? So what exactly does being compliant mean? 7

To Be Compliant Means… … you are conducting an ethical business in accordance with Mannatech’s Policies and Procedures and acting within the boundaries set by DSHEA (Dietary Supplement Health Education Act). As a Mannatech Associate, Compliance means you are abiding by the company’s policies and procedures, embracing Mannatech’s Code of Ethics and acting within the guidelines set by The Dietary Supplement Health and Education Act of 1994, otherwise referred to as “D-shay” for promoting and educating people about health supplements. This act specifically states “…consumers should be empowered to make choices about preventative health care programs based on data from scientific studies of health benefits related to particular dietary supplements…” It is this act that empowers us to take this incredible discovery to market as a dietary supplement and use the science behind the product to promote its benefits and distinguish it from other products claiming to offer the same benefits. 8

Why Do We Need Compliance?
Our founder, chairman and CEO, Sam Caster summed it up best: “As Mannatech Associates, we are on a Mission with Purpose: To share the gift and to be ‘good stewards’ of the gifts we’ve been given to share.” So be a good steward. Associate Policies and Procedures
The Policies and Procedures serve as a guide for Associates to successfully build and maintain their businesses as Independent Distributors. Mannatech is committed to developing a strong relationship with you and providing you with the necessary tools to start, strengthen, and maintain your business. In your first sign-up order shipment from Mannatech, you received a copy of Mannatech’s Associate Policies and Procedures. The Policies and Procedures are the guidelines to making the most of your Mannatech business. As an Independent Associate, it is important for you to understand and follow all the terms and conditions within the Policies and Procedures. Please take the time to thoroughly review them. The Policies and Procedures covered in this guide will help you make the best decisions possible as they relate to your Mannatech business. Just as the Policies and Procedures establish the boundaries for the way you build and maintain your business, the Associate Code of Ethics outlines Mannatechs Values. 13

Associate Code of Ethics
The Code of Ethics serves as a guide so that Associates may act independently but in alignment with the organization and its values. Behind every great business, great person, or great plan is a great guiding code of ethics. Mannatech’s Code of Ethics has been specifically developed so that you may act independently but always remain in aligned with Mannatech’s mission and its values. This code reads “Mannatech, Inc is committed to fostering you in a professional and responsible networking career. The Mannatech Associate Code of Ethics sets forth fair and ethical principles and practices. Mannatech Associates agree to adhere to this code in the conduct of their business representing Mannatech and the networking profession as one committed to honesty, integrity and opportunity for all.” Uniting all Associates, the Code of Ethics ensures all Mannatech Associates agree to represent themselves, Mannatech, our products and services truthfully, with integrity and in a compliant manner. As we mentioned in “The Mission” module, Mannatech is a proud member of the Direct Sales Association (DSA.) We believe their mission closely reflects the heart of Mannatech and supports our own Code of Ethics. A quick reference to help you make informed decisions As you have probably surmised by now building a great business takes effort and commitment. Mannatech understands that all this information can be a little confusing. So we created an informative guide to help you navigate through compliance issues. This handy pocket-sized reference guide will quickly give you the answers you need to make informed decisions. The color-coded categories make it simple to understand the proper use of written materials to share our gift and prospect for new Associates. Green means you may safely proceed with the use of Mannatech-produced materials to promote our products, business, and education of our consumers. Yellow means you should be cautious when using other materials, references, or educational pieces not produced by Mannatech. These materials are commonly referred to as third-party. We will talk more about these materials in the training module. Red means you should avoid the use of materials that may present dangerous legal and regulatory issues. As you can see this is an important guide that you need to successfully develop your business. However, you should remember that it is intended for use with Mannatech’s Associate Policies and Procedures and Code of Ethics, not as a replacement for them. 15

Trademarks, Logos and Patents Now let’s look at some specific areas you’ll encounter where compliance may get a little confusing. First, let’s look at Mannatech’s trademarks, logos and patents and how they are used. Starting and promoting your Mannatech business is exciting and we know you want to get started right away sharing the gift with as many people as possible. In doing so, please remember: if you plan on advertising your business (i.e. newspapers, magazines or church bulletins), Associates should only use only Mannatech’s pre-approved ads ready for your use. Simply add your contact information, and you’re off and running. Also, as a Mannatech Independent Associate, you should always identify yourself as an Independent Associate. When you promote your business, proudly use the Mannatech Independent Associate logo. Finally, let’s discuss our patents. While we are especially proud of our proprietary products and the patents they have been awarded, the information included in the actual filing should not be used as a source for promoting the company’s products. It is equally important to understand the kinds of claims that can be made about Mannatech products and where you can find them. A great place to get reliable information on Mannatech products is the Product Guide. Mannatech’s Product Guide brings you comprehensive product and ingredient information, including label information and product claims you may share with others. The Guide also highlights our scientific leadership team and explores the topics of optimal health, wellness, GMPs, safety, quality, and more. Remember: Acceptable claims vary by country, so be sure to check the product information sheets for your country of operation! Product Claims What is a Proper Claim?
According to the Federal Trade Commission, a product claim is a statement that clearly and fairly describes an attribute of the product that can be substantiated and is not deceptive. Example: Advanced AmbrotoseTM is designed to support effective cell-to-communication.* Testimonials are not substantiation! Life stories are personal testimonials of associate experiences and are not acceptable substantiation for product claims! Please remember that your life story is important and should always be shared as your unique experience and not as a substantiated claim about our products. What if someone asks me about the products and a specific disease or condition? Nutritional supplements are designed to improve your quality of life, regardless of your state of health. Despite all these great statements, there’s a big question that most people have about the products. They may want to know about the products’ effectiveness with specific disease conditions. If you are asked this kind of question by someone, let him/her know that nutritional supplements are designed to improve your quality of life, regardless of your state of health. Making proper claims about the products is one of the most important responsibilities you have as an Independent Associate. Taking the time to review the proper materials will help equip you with the tools you need to be successful. Now let’s look at the types of materials Mannatech recognizes as Compliant. 23

Mannatech Promotional Materials - Marketing materials produced by Mannatech that have been reviewed for compliance Mannatech Educational Materials B “Label-exempt” material Generic Materials (Third party) - Materials that do not reference, explicitly or implicitly, the company, products or business opportunity Earlier we discussed what is compliance and what reference materials we offer about compliance. Now we are going to look at the three categories of materials that Associates may be exposed to and which of them are considered compliant. MPMs or Mannatech Promotional Materials – marketing materials produced or approved by Mannatech that use Mannatech’s brand in connection with Mannatech’s products or business opportunity – may be used in conjunction with the sales of Mannatech products or business opportunity. In addition to MPMs, you may come across “educational ” and “generic” materials. Educational materials are also known as 403B “Label-exempt” materials. Generic Materials are those that do not reference, explicitly or implicitly, the company, products or business opportunity. Let’s consider each in greater detail. 24

Definition of Materials Mannatech Promotional Materials
Mannatech produced and/or approved materials that use Mannatech’s brand. Can be used in connection with the products or business opportunities. MPMs (Mannatech Promotional Materials) are materials produced and approved by Mannatech which use Mannatech’s brand in conjunction that Mannatech’s products or business opportunity. You may use them in connection with the sale of Mannatech products and business opportunity. MPMs are great tools to use to start your business and attract prospects. There are a variety of options to choose from. You received many of these items in your Sign-Up Pack, such as the Product Guide, the “What Everybody Needs” DVD, the Compensation brochure, and much, much more. Besides to our MPMs, did you know that there are two other types of educational materials that may be used in the United States? They are either “Label” or “Label exempt.” 25

Federal Trade Commission (FTC) Food and Drug Administration (FDA) Dietary Supplement Health and Education Act (DSHEA) To begin the discussion on “Labeling”, what governing bodies and laws regulate Mannatech, its products and business practices. They are the Food and Drug Administration (FDA), the Federal Trade Commission (FTC), and the Dietary Supplement Health and Education Act of 1994 (DSHEA). Each one impacts the way we label our products. Here’s what the FTC considers labeling. DSHEA 26

Federal Food, Drug, and Cosmetic Act 21 U.S.C. §321(m) provides “The term labeling means all labels and other written, printed or graphic matter upon any article or any of its containers or wrappers, or (2) accompanying such article.” The Federal Food, Drug, and Cosmetic Act, section 21, u.s.c 321(m) states “The term labeling means all labels and other written, printed or graphic matter upon any article or any of its containers or wrappers, or (2) accompanying such article.” 27

This product is not intended to treat, diagnose, cure or mitigate any disease.” Here is an example of labeling: As you can see, the label lists a specific company (Mannatech). It has a specific brand name (Advanced AmbrotoseTM), and it contains a specific function claim (supports immune health.) But, most importantly it contains a mandatory disclaimer: “ This statement has not been evaluated by the FDA. This product is not intended to treat, diagnose, cure or mitigate any disease.” It is not always easy to recognize “labeling.” It is important to remember that not all “labeling” meets the criteria listed here. Information attached to a product or product-specific (written) information may be deemed “labeling.” For example, If an is sent to someone that discusses disease conditions and Mannatech products, that may be considered “labeling” as it relates to the product. There are other examples: 28

This product is not intended to treat, diagnose, cure or mitigate any disease.” This is a Mannatech Product Information Sheet. As you can see, it has a specific company (Mannatech). It has a specific brand name (CardioBalance), and it contains a specific function claim (heart care formula.) But, most importantly, it contains a mandatory disclaimer at the bottom: “ This statement has not been evaluated by the FDA. This product is not intended to treat, diagnose, cure or mitigate any disease.” Keep in mind that labeling is not limited to an actual label on a bottle of product. There’s another example: 29

Specifies a company, e.g. Mannatech Specifies a brand name, e.g. ImmunoSTART® Contains a “Structure-Function Claim”, e.g. “Formulated to provide immune system support” Contains mandatory disclaimer: “This statement has not been evaluated by the FDA. This product is not intended to treat, diagnose, cure or mitigate any disease.” This label has a specific company (Mannatech). It has a specific brand name (ImmunoSTART®), and it contains a specific function claim (formulated to provide immune support system.) But most importantly, it contains a mandatory disclaimer: “ This statement has not been evaluated by the FDA. This product is not intended to treat, diagnose, cure or mitigate any disease.” By now you may be wondering why the mandatory disclaimer is important. Earlier we discussed appropriate product statements and where to find them. There are at least two dangers of ignoring the mandatory disclaimer and making drug claims about the products. 30

Two Dangers of Drug Claims
“Secondary health hazards”—consumers relying on “drug-type claims” and discontinuing use of conventional drug therapy, causing their condition to worsen. Suggestions of “treatment, diagnosis, cure, or mitigation of disease” could remove the products from the dietary supplement category into the drug category, rendering the product(s) an unapproved new drug and requiring withdrawal from the market. It is important not to make the suggestions of “treatment, diagnosis, cure, or mitigation of disease“ when referring to Mannatech products. This could remove the products from the dietary supplement category and force them into the drug category, rendering the product(s) an unapproved new drug and requiring withdrawal from the market. Also, it could cause “secondary health hazards“—consumers relying on “drug-type claims” and discontinuing use of conventional drug therapy, causing their condition to worsen. It is very important to always refer to the product information and claims that have been provided by Mannatech. Earlier we mentioned that there was a distinct difference between label and label-exempt materials. Let’s talk about label-exempt materials in the U.S. You may know them as “Educational Materials.” You define “third party” as generic. 31

“403B Label-Exempt” Materials Dietary Supplement Labeling
A publication, including an article, a chapter in a book, or an official abstract of a peer-reviewed scientific publication that appears in an article and was prepared by the author or the editor of the publication which is reprinted in its entirety, shall not be defined as “labeling” when used in connection with the sale of a dietary supplement to consumers when it: is not false or misleading. does not promote a particular manufacturer or brand of a dietary supplement. is displayed or presented, or is displayed or presented with other such items on the same subject matter, so as to present a balanced view of the available scientific information on a dietary supplement. if displayed in an establishment, is physically separate from the dietary supplements and does not have appended to it any information by sticker or any other method. Here are the main things you need to understand about labeling exemptions as defined by DSHEA. A publication as defined by 403 B(a), used in connection with the sale of a dietary supplement to consumers, shall not be defined as labeling when the following guidelines are followed: 1) It is not false or misleading. 2) It does not promote a particular manufacturer or brand of a dietary supplement. 3) It is displayed or presented, or is displayed or presented with other such items on the same subject matter, so as to present a balanced view of the available scientific information on a dietary supplement. 4) If displayed in an establishment, it is physically separate from the dietary supplements, and 5) It does not have appended to it any information by sticker or any other method. Understanding what publications can be considered label-exempt is key to building a solid foundation for your business. 32

“403B Label-Exempt” Materials (U.S. Only)

It is displayed or presented, or is displayed or presented with other such items on the same subject matter, so as to present a balanced view of the available scientific information on a dietary supplement. If displayed in an establishment, it is physically separate from the dietary supplements. Does not have appended to it any information by sticker or any other method. Here is an example of a label exempt publication as defined by 403 B(a). Once again it is 403 B(a) if: 1) It is not false or misleading. 2) It does not promote a particular manufacturer or brand of a dietary supplement. 3) It is displayed or presented, or is displayed or presented with other such items on the same subject matter, so as to present a balanced view of the available scientific information on a dietary supplement. 4) If displayed in an establishment, it is physically separate from the dietary supplements, and 5) It does not have appended to it any information by sticker or any other method. Therefore these types of materials cannot be used to promote a specific product or brand. If you use them at a meeting in which you are sharing the opportunity to join Mannatech with others, the label-exempt material needs to be physically separate from any non label-exempt materials. Keep in mind that no business cards can be attached to them. Also, you should refrain from talking about them during the meeting. For more information please refer to Section 2.11 of the Policies &Procedures. Now let’s take a look at generic materials. You may know them as third party material. 33

Generic Materials Something is “generic” if it cannot be linked back to the company or the products in any way. For example, a material is not “generic” if it contains: - Company name - Company logos - Company trademarks - Copyrighted materials and graphics - Pictures of corporate representatives, employees, officers or directors What makes something generic? Something is generic if it cannot be linked to the company or products in any way. For example, a material is not “generic” if it contains: Company name Company logos Company trademarks Copyrighted materials and graphics Pictures of corporate representatives, employees, officers or directors Associate Policies & Procedures Section 2.10 34

Take a look at this picture. Do you consider this product labeling generic? You are correct if you said “No!” Since the label has information that can be linked to Mannatech, the label isn’t generic. Let’s look at appropriate use of generic material. NO!! - Why not? 35

The Use of Generic Material
Not reviewed by Mannatech for compliance. Ask if unsure! “Has this material been reviewed by best qualified legal counsel as label-exempt?” Use only for your own educational purposes. Never attach Mannatech’s name or product names to Third Party material or it will be considered “labeling. Earlier we mentioned that generic or third-party materials shouldn’t be used for product information. These can be materials produced by independent vendors and purchased by Mannatech Associates to use for their own educational purposes. However Mannatech does not review them for compliance. Keep in mind that they are not approved labeling materials and may not qualify as 403B label-exempt. If you are unsure, ask “Has this material been reviewed by qualified legal counsel as label-exempt?” If you use generic material make sure you avoid attaching Mannatech’s name or product names to the material or that material will be considered “labeling” as previously described. Remember these materials shouldn’t be used in connection with the sale of any Mannatech product. Remember, generic material should be used only for educational purposes. 36

Identifying Generic Material
“The Miracle Cancer Cure” The book does not endorse or otherwise mention any particular supplement brand. The author/publisher does not sell the herbal supplement and does not have any material connection to any marketers of the herb. As non-commercial speech, the book itself would not be subject to the FTC's jurisdiction over advertising. Here’s the title of a book that might be used for your own personal educational purposes. Notice the book’s title doesn’t endorse or otherwise mention any particular supplement brand. Also, it is important to understand that the author/publisher cannot sell the herbal supplement or have any material connection to the marketers of the herb if the book is to be considered generic. Because it is considered non-commercial speech, the book itself wouldn’t be subject to the FTC’s jurisdiction over advertising. For example, if the book is used to promote Mannatech’s products, it will no longer be considered labeling-exempt and would be subject to FTC scrutiny as advertising. 37

Identifying Generic Material
If a marketer of the herb referred to the book in advertising materials (for instance, by quoting the title and using excerpts to describe the anti-cancer benefits of his/her product), such references would likely be considered advertising or even labeling. The advertiser and marketer would be responsible for substantiating any claims about the advertiser's product that are conveyed by these references. However, the book would be considered advertising if a marketer of the herb referred to in the book advertising materials. For instance, if an advertiser quotes the title and uses excerpts to describe the anti-cancer benefits of their product, such references would likely be considered advertising or labeling. The advertiser and marketer would be responsible for substantiating any claims about the advertiser's product that are conveyed by these references. It is important to understand that the advertisements and labeling must be truthful, accurate and not misleading. Advertisers (marketers) must have adequate substantiation for any claim they make in advertising. Just because an article or book is generic does not necessarily mean that it is 403B compliant. DSHEA provides guidelines for meetings. There are guidelines for two types of meetings: Opportunity and Educational. If you choose to have one of these meetings you must first understand the difference between them. What is the difference? First remember mind that each country has its own laws on what differentiates Opportunity Meetings from Educational Meetings. Always find out in advance what the laws are in that country before conducting a meeting. There are two types of meetings and you can choose which one to have. 40

What is an Opportunity Meeting?
This is a meeting open to the general public. Attendees may give their own testimonials. Mannatech-approved educational materials can be made available, but must be placed separately from products. Educational materials CANNOT be discussed at the meeting. Opportunity Meetings are meetings open to the general public where attendees other than the meeting host may give their own testimonials.
