4 Preamble We, the officers and members of the League of Cooperative Managers of Cavite, imploring the aid of the Divine Providence, strongly desire to commit ourselves towards the strengthening of the cooperative movement in this province; through the effective utilization of all our resources both human and natural; with the fervent hope to bring back the glory to God our Creator; to continuously champion the cause of cooperatives,

Preamble promote its development, help sustain its projects and programs for its target members and contribute to the viability of all its endeavors; that with our concerted effort, we could professionalize and institutionalize cooperatives in this province, with high hopes that cooperative will be the answer to the various needs of every Caviteño, do hereby promulgate and adopt this constitution and by-laws.

6 ARTICLE I Name, Domicile and Composition Section 1 -The organization shall be known as the League of Cooperative Managers of Cavite, Inc. (LCMC).

7 ARTICLE I Name, Domicile and Composition Section 2-The League shall hold office at Cavite Cooperative Development Center (CACODEC) Trece Martires City, Cavite.

8 ARTICLE I Name, Domicile and Composition Section 3-The league shall be composed of managers (full or part time) or officer in charge of the Primary Cooperative, Union and Federation in good standing in the province of Cavite.

9 ARTICLE II Declaration of Purposes and Objectives Section 4-The League shall have the following purposes and objectives: a. To uphold the rights and privileges of the Coop. Managers; b. To develop action agenda and /or solutions needing advocacy to further strengthen the operation of the cooperatives;

10 ARTICLE II Declaration of Purposes and Objectives c. To establish strong and harmonious relationship between Managers of the different cooperatives in the province, so as, in the country; d. To enhance cooperative business operations link;

11 ARTICLE II Declaration of Purposes and Objectives e. To possess distinctive identity in the cooperative sector; f. To further develop the management skills of Cooperative Managers.

12 ARTICLE III Membership Section 5- Membership shall be classified into: Regular Members- All managers (full or part time) or officers in charge of the primary cooperative, union and federation in good standing in the province of Cavite.

13 ARTICLE III Membership Honorary Members- Managers who became the member of the League and who retired from the Coop. subject to the approval of the Board of Trustees.

14 ARTICLE IV Board of Directors ARTICLE IV Board of Directors Section 6-The Board of Directors shall be the governing body of the organization & it shall be composed of seven (7) members. Section 7-The Board of Directors shall be elected from among the Managers of the Primary Cooperative, Union and Federation present in the annual general assembly as herein provided in Section 19 of this Constitution.

15 ARTICLE IV Board of Directors Section 8-Term of office. The Board of Directors shall serve a term of office of two (2) years following their election and to continue until their successors shall have been duly elected and qualified but not to exceed three (3) consecutive terms.

16 ARTICLE V Officers, Duties and their Election Section 9-The Board of Directors shall elect or appoint the officers of the League. It shall consist of the following: – The Chairman of the Board / President – Vice-Chairman / Vice-President – Secretary – Treasurer – Auditor – P.R.O. – Business Manager – Executive Officer

17 ARTICLE V Officers, Duties and their Election Section 10-The term of office of the officers shall be for two (2) years following their election and to continue until their successors are duly elected and qualified. Section 11-The election of officers shall be held every 2nd Tuesday of December of every election year as herein provided in Section 19 of this constitution.

18 ARTICLE V Officers, Duties and their Election Section 12- The Chairman shall have the following duties and powers: a. To call and preside all meetings; b. To represent the league in all cooperative forum and conventions; c. To uphold the laws, rules and regulations of the republic;

19 ARTICLE V Officers, Duties and their Election d. To execute all rules and regulations and the constitution and by-laws of the League; e. To create and appoint working committees upon concurrence of the Board of Directors; f. To appoint the Auditor of the league with the approval of the Board of Directors;

20 ARTICLE V Officers, Duties and their Election g. To authorize the Treasurer to pay all legitimate financial obligations of the league upon concurrence of the Board of Directors; h. To hire the services of the management staff; i. To prepare and submit to the general membership an annual report regarding its activities.

21 ARTICLE V Officers, Duties and their Election Section 13-The Vice Chairman shall: a. Assume the duties and responsibilities of the Chairman in the event of death, incapacity or permanent disability of the latter; b. Temporarily assume the duties of the Chairman during latter’s absence or inability to perform the duties of his office;

22 ARTICLE V Officers, Duties and their Election c. To represent the league in all cooperative functions when the Chairman so desires; d. Prepare and submit the annual budget of the league’s Board of Directors.

23 ARTICLE V Officers, Duties and their Election Section 14-The Secretary shall have the following duties: a. To record the minutes of all meetings accurately; b. To render and read the minutes of previous meeting during the regular meeting of the Board of directors when so desired;

24 ARTICLE V Officers, Duties and their Election c. Read all official communications received by the league during the regular meeting of the Board of Directors; d. To keep and safeguard all records of the league; to keep an updated list of members; e. To prepare the agenda of the regular meeting of the Board of Directors

25 ARTICLE V Officers, Duties and their Election Section 15-The Treasurer shall have the following duties; a. To collect and receive all fees and dues from the Managers of all member cooperative. b. To keep an accurate record of all accounts and financial transactions of the league;

26 ARTICLE V Officers, Duties and their Election c. To render a financial report duly certified by the auditor every regular meeting of the Board of Directors: d. Shall be the custodian of all money and property of the league; e. Shall represent the Board of directors to banking institutions where the league is keeping an account upon approval of the Chairman;

27 ARTICLE V Officers, Duties and their Election f. To pay and disburse funds of all legal obligations by the league after the same has been approved by the Chairman with the concurrence of the Board of Directors; g. Shall subject his accounts and other accountabilities to necessary examination of the Auditor; h. To render an audited financial report during the annual general meeting.

28 ARTICLE V Officers, Duties and their Election Section 16-The Auditor shall have the following duties: a. Shall examine the Treasurer’s collection and financial reports; b. Shall subject to necessary examination the book of accounts of the Treasurer, money and property of the league;

29 ARTICLE V Officers, Duties and their Election c. Shall verify and certify the annual financial report of the Treasurer according to the accepted standard rules on general accounting procedures.

30 ARTICLE V Officers, Duties and their Election Section 17-The Executive Officer shall: a. Implement the plans, programs and policies of the Board of Directors; b. Be administratively responsible in the management and operation of the League;

31 ARTICLE V Officers, Duties and their Election c. Prepare the overall plans and programs of the league and submit the same to the Board of Directors for approval; d. Act as liaison officer with other cooperatives; e. Assume other duties assigned to him /her by the Chairman.

32 ARTICLE VI Meetings Section 18-An annual general meeting shall be held every 2nd Tuesday of December but not later than 25th of December of each year and the election of the Board of Directors and officers shall be held every year starting 2007.

33 ARTICLE VI Meetings Section 19-The regular meeting of all members of the Board of Directors shall be held every 2nd Tuesday of the month. Section 20-In case of exigency, special meeting may be called by the Chairman or upon the expressed desire of the majority of the Board of Directors.

34 ARTICLE VII Declaration of a Quorum Section 21-On election of the Board of directors: A simple majority of fifty plus one (50+1) of all regular members of the League shall constitute a quorum for the purpose of election. Section 22-On election of officers: A simple majority of fifty plus one (50+1) of all elected members of the Board of directors shall constitute a quorum for the purpose of election.

35 ARTICLE VII Declaration of a Quorum Section 23-On regular and special meeting of the board of directors: A simple majority of fifty plus one (50+1). Of all members of the Board of Directors shall constitute a quorum for purposes of transaction of business and other matters concerning the affairs of the league.

36 ARTICLE VII Declaration of a Quorum Section 24-On General Assembly: A simple majority of all regular members of the league shall constitute a quorum for the purpose of transaction business and to validate and approved the annual reports of the league during the ensuing term.

38 ARTICLE VIII Fees and Dues ARTICLE VIII Fees and Dues Section 25-Upon the adoption of this constitution and by laws of the league, each regular member shall pay the following: a. A one-time membership fee of Php200.00 b. Annual dues Php300.00

39 ARTICLE IX Suspension, expulsion and Termination Section 26-Any member may be suspended for non payment of dues. Section 27-Any member may be suspended or expelled for acts inimical to the interest of the league. Section 28-Membership may be terminated when he/she ceases to be a manager of the Cooperative.

40 ARTICLE X Miscellaneous Provisions Section 29-The League must have at least three (3) consultants that may come from CUC, PCDC, and other Coop. organization in Cavite. Section 30-In case of death of any active member of the league, a cash assistance /donation shall be given to the heirs from the funds of the association, the amount of which will be determined by the Board of Directors.

41 ARTICLE X Miscellaneous Provisions Section 31-The calendar year from January to December of each year shall be the official annual period of the league. Section 32-Two-thirds votes of the regular members of the league may amend the provisions of the constitution and the by-laws in a meeting called for this purpose and/or during the annual general meeting
