50 UN/CEFACT IPR Policy Background  UN/EDIFACT was developed under a general policy of transfer of rights from the contributor to the UN. i.e. the contributor relinquishes his rights  In a modern ICT environment, the CSG considers this to be unrealistic and in 2001 commissioned a review  New draft policy based on the grant of a perpetual, irrevocable, royalty free licence from the contributor to the UN was adopted by the CSG in October 2002 and submitted to the OLA

51 UN/CEFACT IPR Policy Background  OLA sees merit in the licence approach, but very recently -despite the views of the World Intellectual Property Organisation (WIPO) - feels that it must be accompanied by legal indemnity covering the UN against any third party liabilities arising from the grant of a licence  CSG considers that because this is unquantifiable risk very few companies will agree to indemnify the UN  As an alternative to an indemnity the OLA suggests that the transfer policy (relinquishing of IP rights) should become the basis of the UN/CEFACT policy, but has yet to provide a text

52 UN/CEFACT IPR Policy Current Position  UN/CEFACT currently has no detailed IPR policy in place  The CSG is undertaking a survey to ascertain the views of its participants and members as to both the issues of indemnity against third party claims and the transfer of IPR to the UN  Your answers to the survey (questionnaire) are crucial  This survey should be completed and the results available by early April

53 UN/CEFACT IPR Policy Does all this matter?  It depends on your position  Some Groups will rightly be very concerned, others pointing to the experience of UN/EDIFACT may be less so  However, the CSG felt that a modern IPR was fundamental to UN/CEFACT’s eBusiness strategy and the best guess is that this is not going to be forthcoming in he medium term

55 UN/CEFACT Support Service Provider  The CSG considers that acquiring an SSP is essential to support the Forum and that the timing is urgent  Some progress has been made; a mechanism has been identified with the OLA that will allow an effective contractual procedure to be organised and a trust fund, covering contributions in cash and in kind, established  Plenary approval is required and the necessary documents and budget will be discussed in May. Subsequently further approvals within the UN system are also required. This could take 9 months or more

56 UN/CEFACT Support Service Provider  Although the question of the SSP and a modern IPR policy are not directly linked the CSG is concerned that not having a acceptable IPR policy in place may impact on the willingness of companies to contribute to a trust fund in cash or in kind  This is because if companies do not find the IPR policy acceptable they will not wish to work under the UN umbrella and therefore a very unlikely to contribute to a trust fund

57 UN/CEFACT UN/CEFACT The UN Centre for Trade Facilitation and Electronic Business Conclusion  The recent developments within the UN regarding IPR policy put major elements of UN/CEFACT’s eBusiness strategy at risk. This may lead to a revision of the strategy, or a move to relocate some or all of the work to other organisations, or both.  If we are going to have an effective discussion on these issues your participation is vital.
