3 Copyright Agency | Viscopy Services Agreement: Background Earlier discussions in 2006 Both parties worked throughout 2011 to develop a practical arrangement that would promote efficient operation in the interests of both groups of members Grant of approval by the Australian Competition and Consumer Commission in June 2012 Arrangement commenced 2 July 2012

4 Copyright Agency | Viscopy Services Agreement: Objectives Reduce administrative fees on royalties paid to visual artists under Australian statutory licence schemes Streamline resale royalty payments to artists who claim via Viscopy Combine repertoire and resources to develop and enhance licence schemes for works of visual artists Centralise administration to reduce overhead costs

5 Copyright Agency | Viscopy Services Agreement: Objectives (cont’d) Improve education and training for visual artists, particularly Indigenous artists Improve policy advocacy for visual artists in local and international forums

6 Copyright Agency | Viscopy Services Agreement: Services Copyright Agency is managing the day to day operations of Viscopy business, via former Viscopy staff and Copyright Agency staff Formal service agreement in place that covers: –Membership, licensing and business development –Finance, treasury, reporting, audit, insurance –Compliance and company secretariat –Publicity and communication –Information technology

7 Copyright Agency | Viscopy Services Agreement: Services (cont’d) Foreign affiliates –Rights and obligations under the current agreement with foreign affiliates will not change, unless agreed by all parties –Resale royalty payments will still be collected by Copyright Agency as the declared society for the Australian scheme, and including for foreign artists as our scheme is expanded where reciprocity is granted

8 Copyright Agency | Viscopy Services Agreement: The Future In 2015 or 2017 the Viscopy Board must put a merger proposal to Viscopy members Timing depends on achievement of agreed revenue, membership and other key performance indicators Merger proposal must include built in representation of visual artists on Copyright Agency’s Board Merger proposal will only go ahead if it is in the overall best interests of Viscopy’s members
