ETI Antitrust Policy ETI is committed to compliance with the antitrust laws of the United States and each of the jurisdictions in which it does business. Persons representing your competitors may also be attending this meeting. It is imperative that you keep this in mind and be certain to take precautions not to violate, or even appear to violate, the antitrust laws. The antitrust laws generally prohibit contracts, agreements, combinations or conspiracies which unreasonably restrain free competition. A major focus of the antitrust laws is to prohibit agreements between competitors or potential competitors which restrict their freedom to independently decide which markets they will enter, what prices and terms they will offer or which firms they will deal with. To that end, during this meeting and any related meetings or interaction, there will be no discussion of what prices will be charged by your company or a competitors company for materials and services. Likewise, there will be no discussions of allocation of customers, markets or territories among competitors. In addition, there will be no discussions regarding refusing to deal with any competitor or third party. All such subjects are to be established unilaterally by each without discussion among or agreement with competitors. April 18, 2012 ToolTech 20121
