Procedures Report to the IEEE-SA Board of Governors By Don Heirman and Mary Lynne Nielsen 5 December 2003

Current revisions for consideration l Elections language—major rewrite to reflect IEEE Bylaw changes l Ethics—review by ad hoc; minor updates l Fundraising—deletion l ArCom—refining definition l Standards Medallion—clarification of requirements l Clause 6—updates to membership fees/privileges l Position statements—addition of IEEE-USA receipt l Editorial corrections

Voting rules l BoD approved changes to IEEE Bylaws that address concerns about how abstention votes are treated and about email voting l Changes apply to Standards Board and all other subsidiary committees l Abstentions do not count in total of votes cast l Only approval by a majority of voting members needed to approve actions taken by email vote l Most of the changes do not apply to BOG, since BoD determined that Major Boards must follow BoD rules l Abstentions still have the effect of a no vote in BOG votes l BOG email votes must gain unanimous consent

Proposed procedural work for 2004 l 1 st half of 2004 l CAG election process and restructuring l Add plurality election process l Add reporting mechanisms to BOG l Adding treasurer as voting member l If approved in principle, would be an IEEE Bylaws change l Email balloting clarifications l Can debate and change of vote be made by email during the “open” balloting period? l To be discussed with IEEE Parliamentarian

Proposed procedural work for 2004 l 2 nd half of 2004 l Clause 7—Relationships with other SDOs l Add regional bodies l Appeals guidelines l Addressing terminology and process flow l To be done in tandem with Standards Board appeals process l International award qualifications

2003 procedures report card l 7 policy changes approved by BOG in Feb/June 2003 l 14 additional policy activities identified in June 2003 l 3 high priority l 6 medium priority l 5 low priority l As of end 2003, 6 completed, 1 overcome by events l All high priority items, half of medium priority items

2003 procedures report card l 3 additional changes processed in 2003 l Smaller changes not identified on policy activity list l 16 activities total completed l Other 7 identified items scheduled through 2004
