Adoption of Annual Accounts Resolution 1 The members of the Movex User Association, hereby accept and adopt the Annual Accounts for the year 2008/9, as produced by our Accountants, Total Accounting Solutions, Lincoln on 14 th September 2009, at the annual general meeting of the company held on 13 th October 2009. Resolution No 1 *for *against *Strike out whichever is not desired.

Re-election of MUA Committee Resolution 2 The members of the Movex User Association, hereby elect the committee members standing for re- election, for a further three years, as specified in section 5.5 of the MUA Constitution, at the annual general meeting of the company held on 13 th October 2009. Resolution No 2 *for *against *Strike out whichever is not desired.

Re-election of Graham Maxfield Resolution 3 The members of the Movex User Association, hereby elect the Director standing for re-election, as specified in section 40(A) of the Articles of Memorandum, at the annual general meeting of the company held on 13 th October 2009. Resolution No 3 *for *against *Strike out whichever is not desired.

MUA Annual General Meeting Voting requirements 23 members attending 1 vote per member (excluding 3 rd party members) Requires majority of 75% of votes cast. 4.Amendment of Constitution – replacement of the word “Movex” with the word “Lawson” and where appropriate add the word “Software” 5.Change the name of the Association from “Movex User Association” to “Lawson User Association”

Amendment of MUA Constitution Resolution 4 The members of the Movex User Association, hereby agree to replace the word “Movex” with the word “Lawson” and where appropriate add the word “Software” throughout the whole of the MUA Constitution, as specified in section 7.1 of the MUA Constitution, at the annual general meeting of the company held on 13 th October 2009. Resolution No 4 *for *against *Strike out whichever is not desired.

Change the name of the Association Resolution 5 The members of the Movex User Association, hereby agree to change the name of the Association from “Movex User Association” to “Lawson User Association”, at the annual general meeting of the company held on 13 th October 2009. Resolution No 5 *for *against *Strike out whichever is not desired.

Global Association of M3 User Groups 14 user groups – all independent – mainly Europe One “voice of the customer” with Lawson Four different subgroups - Professional Services - Country Specific Localisations - Product Development - Training / Education - Support “Meet” with Lawson every month via Teleconference Generally meetings held in Europe

Professional Services - Meeting 4 th Monday of each calendar month - Poor progress in 2008 - New Executive Vice President x 2 - New initiatives (CUE 09 – April 2009) - Full & Complete matrices now received monthly - Main area of concern from customers, at this moment Global Association of M3 User Groups

Country Specific Localisations - Movex / M3 is only supported in 33 countries (38 M3 10.1) - Movex / M3 is used in at least 72 countries - Lawson no longer actively expanding coverage - GAM3 suggested use of “Joint Development” - Lawson Executive agreed at CUE 09 - $300,000 is “cost” of each Joint Development - Initial meeting in early summer 2009 - Meeting, via WebEx, Thursday 24 th September 2009 to obtain commitment / country sequence - Meeting with Lawson Executive, 30 th September 2009 Global Association of M3 User Groups

M3 Product Enhancement - 303 issues / ideas submitted / voted upon in 2008 - 39 of the enhancement ideas are included in release of M3 7.1 plus - 75 of the enhancement ideas are included in “announcement” of M3 10.1 - 189 issues / ideas submitted in Spring / Summer 2009 - voting now open until end of November 2009. - Spreadsheet now available for input.
