4. 4 Sapphire Management Group Ltd. TRANSACTION  Sapphire Management Group (SMG), on behalf of the International Food Corporation (IFC), has for sale 4 tracts of land totaling 4.3 million acres for development and exploration.

TERMS and CONDITIONS  Properties were held by IFC for approximately 6 years, with the acquired companies holding them for approximately an additional 14 years  IFC is asking for approximately $100 per acre.  Each tract must be acquired in its entirety and the option agreement will only allow acquisition of entire tract  Option price is in cash and non-refundable.  Methodology is the initial purchase and subsequent exercise of a property option for each of the tracts  If option is not exercised in one (1) year’s time, it will lapse.  Portion of the option prices to prepare the documentation for transfer of title, so when the option is exercised, the properties have been reregistered and validated by the Government Land Registry Office
