1 This agreement covers the services provided to ● by the Communications team Services Provided The following services and systems will be provided to the ● business unit (BU) beginning immediately and continuing through to 31/12/2015.  Core services: Management of the corporate reputation of the Group and its operating units All investor relations and external communications, including crisis management Development and coordination of key messaging to support investment case for the Group, as well as each business unit Production of all required disclosure materials including corporate website, corporate presentations, annual report and regulatory news service press releases Shareholder analysis and market monitoring Management of all investor, sell-side analyst and media contacts Management of market expectations and analyst forecasts Support in preparing for an media presentations/interviews including scripts and associated briefings, as required Corporate presentation that can be tailored for use by the business unit Press office function including management of media database and relationships with media Monitoring of all relevant coverage, including production of daily news summary (tailored services available subject to additional charge)  Other services: Regular updates on market developments Provision of relevant market research and trends Regular contributions on chatterbox,through hot.seat and other channels as well as face-to-face briefings and town halls SLA – Investor Relations and Corporate Communications

2 Service Levels The services will be subject to the following standards of excellence and delivery:  Any requests for information or support will be dealt with as quickly as possible  Any public disclosures regarding the business unit will be cleared with the head of the business unit before publication, ensuring that we never disclose anything that might compromise the future prospects or competitive position of the business unit or of the Group as a whole  There will be a regular IR report produced as part of the monthly Group management accounts  All IR materials published will be made available to the business unit  There will be regular market updates on an ad hoc basis but always around the financial reporting calendar Business Commitments: The business unit will : keep the Communications team informed of all key developments at the business unit via regular update/progress/review meeting attended by the designated business partner (BP) or senior business partner (SBP) and the BU MD respond quickly to any information requests from the Communications team so that it can fulfill its roles and duties not speak publicly about any aspect of the business or give media interviews of any description without prior clearance from the Communications Director alert the Communications Director and/or the designated communications business partner immediately or as soon as practicable regarding any business development that may have a material adverse or positive impact on the quarterly performance of the business unit supply a bullet-point summary of BU activity/progress for the Group managers’ brief seven days before the monthly cascade cycle begins The BU MD commits to being available to present at a minimum of one investor conference per annum and one day of investor meetings SLA – Investor Relations and Corporate Communications

3 Cost Information The cost for providing these services for the full calendar year will be charged pro rata based on the number of employees contained in the business unit. It is estimated that these costs will amount to approximately €● per annum. Issue Resolution The Communications team and their stakeholders are jointly responsible for resolving disputes in a way that serve the best interests of bwin.party. Disputes on any aspects of the Service Level Agreement should be handled in the first instance by the designated communications business partner with escalation to the senior business partner and, if required, the Director of Communications. Terms This agreement goes into effect immediately and will remain in effect through to December 31 2015. There will be a review of all aspects of the SLA on or before 30 June 2015.
