2 General Overview of Procedures *  Executive Committee determines the number of open positions  Incumbent Trustees decide to stand for reelection  Search for additional Trustee candidates Written biosketches must be submitted before the election meeting Candidates should be informed of their candidacy only if elected  Trustees discuss the qualifications of all candidates at the Annual meeting  Trustees make nominations and the nomination process closes  Trustees present at the meeting vote  Trustees not present are given the opportunity to vote  Tellers committee certifies the vote count; last-place ties are broken by lot  Elected candidates are invited to be Trustees of the Corporation  If a nominee is elected but declines becoming a Trustee, that position shall remain open until the next election  Elected candidates who accept the invitation become Trustees on 1 January following the election * Siirola, Doherty, & Westmoreland, “ Election Procedures for CACHE Trustees and Officers, ” 2002

3 Other Considerations  No more than 21 of the Trustees shall be current or emeritus educators of academic rank ( “ Academic Trustees ” ) and no more than 7 trustees shall be current or retired employees in industry or government or consulting ( “ Industrial Trustees ” ) (Bylaws 2.1)  The Executive Committee determines the number of vacant and expiring Trustee positions deemed to be open (Bylaws 2.2.1) the term (not to exceed 3 years) for each open position (Bylaws 2.2.2)  The VP is directed “ to solicit broadly from the chemical engineering community suggestions of qualified individuals for consideration by the Trustees. ” (Bylaws 2.2.3)  Officer (President, Vice President, and Secretary) elections are conducted during the semi-annual (Spring/Summer) Trustees Meeting of even-numbered years (Bylaws 3.2).
