OVERVIEW OF OPEN SOLICITATION FERC-regulated sale of transmission capacity Purpose: identify, in an open and transparent manner, the parties with whom TDI-NE will negotiate for transmission rights on the NECPL Part 1: Identify parties for negotiations Part 2: Negotiations with selected parties 2

REGULATORY BASIS NECPL is a “merchant” project Negotiated rate authority granted by FERC Condition: hold an Open Solicitation See March 10, 2014 FERC Order 4

BOSTON PACIFIC’S ROLE Boston Pacific’s roles include: Follow FERC-established guidelines Evaluate Expressions of Interest Ensure that the Open Solicitation is fair, transparent, and not unduly discriminatory 5
