5 Hiring Outside Counsel Hourly, Flat Fee, Hybrid Fee Agreement Structure all outside counsel agreements the same, or allow for differences? Obtain an estimate of expected costs and hold counsel to it Must substantiate changes from estimate Any BOD/Executive authorization needed to retain outside counsel?

6 Hiring Outside Counsel Review the Bills… Check for administrative assistants, secretarial fees Check for associates who are doing the work of support staff Check for partners who are ‘riding’ the file Agree up front that some ‘administrative’ fees will not be billed (i.e. file retention, legal search fees, telephone/fax charges)
