Governance Documents C, S, and Benefit Corporations: By-Laws: required in most states. LLC: Operating Agreement – not required but highly recommended! Corporate Reports and Taxes All corporate entities are required to file annual reports. If you are doing business in any state, you must file as a foreign corp. in that state. Annual reports are also required in any state you are registered to do business. If you are a LLC, make sure you know how your LLC will be taxed: Partnership or S Corp.
